Welcome to kriy.ai. These Terms of Use ("Terms") govern your access to and use of the kriy.ai website and any related informational materials (collectively, the "Site"). The Site is operated by NCube Labs, Inc. ("NCube Labs," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. About kriy.ai

kriy.ai is a product of NCube Labs, Inc., a company building AI agent orchestration infrastructure. The Site is an informational and investor-facing resource. It does not currently offer a live commercial product or user accounts. References to product capabilities describe our intended offering and are subject to change.

2. Eligibility

You must be at least 18 years old to use the Site. By using the Site, you represent that you meet this requirement and have the legal capacity to agree to these Terms.

3. Permitted Use

You may access and use the Site for lawful purposes consistent with these Terms. You agree to comply with all applicable laws and regulations in connection with your use of the Site.

4. Prohibited Conduct

  • Use the Site for any unlawful, fraudulent, deceptive, or harmful purpose.
  • Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to the Site.

All content on the Site — including text, graphics, logos, product names, designs, software, and other materials — is owned by NCube Labs or its licensors and is protected by applicable intellectual property laws. "kriy.ai," the kriy.ai logo, and related marks are trademarks of NCube Labs.

These Terms do not grant you any license to use our intellectual property except as expressly permitted below.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable right to access and view the Site for your personal, non-commercial informational purposes. This license does not permit you to:

  • Copy, reproduce, distribute, or publicly display Site content without our prior written permission.
  • Modify, create derivative works from, or reverse engineer any part of the Site.
  • Use any content from the Site to train, fine-tune, or develop artificial intelligence or machine learning models.
  • Use our marks or branding without our prior written consent.

5.3 Feedback

If you share ideas, suggestions, or feedback about the Site or our products ("Feedback"), you grant NCube Labs a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that Feedback without restriction or compensation to you.

The Site is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NCUBE LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law principles.

11.2 Informal Resolution

Before filing any legal action, you agree to contact us at legal@ncubelabs.com and attempt to resolve the dispute informally for at least 30 days.

11.3 Venue

If informal resolution fails, any dispute shall be resolved in the state or federal courts located in San Francisco County, California, and you consent to exclusive jurisdiction and venue in those courts.

12. General Provisions

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and NCube Labs regarding your use of the Site.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and NCube Labs.
  • Assignment. You may not assign these Terms. We may assign them without restriction.
